Terms of Service

These Terms of Service govern the professional services provided by Sana Global Intelligent Systems SPC, trading as Sanarise Oman (“Sanarise”, “we”, “us”). By requesting a quotation, accepting a proposal, or engaging us, you (the “client”) agree to these terms as supplemented by the specific quotation or agreement for your project.

1. Scope of services

We provide Odoo ERP services: implementation, customization, training, support, and assistance with Odoo.sh hosting. Our services are arranged by quotation and delivered under an agreed scope. This website is not an online store — there is no cart or instant checkout, and nothing on it constitutes a binding offer to sell at a fixed price.

2. Quotations and orders

Quotations are valid for approximately seven (7) days from the date of issue, unless stated otherwise. A quotation is an estimate based on the scope described in it; changes to scope may change the price and timeline. An order is confirmed once you accept the quotation and pay the required deposit.

3. Fees and payment

Unless a quotation states otherwise:

  • Payment terms are 50% deposit before the project starts and 50% on completion and client approval.
  • Payment is made by bank transfer in USD.
  • Prices are exclusive of any applicable value-added tax (VAT). VAT at Oman's standard rate of 5% applies to domestic supplies; exports of services to foreign and other GCC clients are zero-rated (0%).

4. Odoo licence and hosting

The Odoo software licence and any Odoo.sh hosting subscription are purchased by the client directly from Odoo. Sanarise does not resell the licence and applies no markup on it. Our fees cover our professional services only — implementation, customization, training, and support. Use of the Odoo platform is subject to Odoo's own terms.

5. Delivery and client responsibilities

Successful delivery depends on the client's cooperation. You agree to provide, in good time, the access, data, decisions, and sign-off we need to progress the work. Delays in providing these may affect the timeline and cost. We will keep you informed of progress throughout the engagement.

6. Training

Training is bundled into our implementation projects so your team can operate and own the system. The scope of training is described in the relevant quotation. Additional training beyond that scope can be arranged separately.

7. Warranty

We provide a 30-day warranty after go-live: genuine bugs and defects in the work we delivered are fixed at no additional cost during that period. The warranty covers defects in our configuration and development; it does not cover new requirements, scope changes, third-party platform issues, or problems caused by changes made by others. After the warranty period, a support plan applies.

8. Support plans

Ongoing support is provided under an annual service-level agreement (SLA). We offer three plans — Basic, Standard, and Premium — each with published response times and support hours. Support is provided during business and extended business hours as set out in each plan; we do not offer 24/7 support. Details and pricing are shown on our Services page.

9. Intellectual property

You own your data and the configuration specific to your business. Sanarise retains all rights to its reusable modules, tools, methods, and know-how, including anything developed before or independently of your project. Where we use such reusable components in your system, you receive the right to use them as part of your Odoo deployment.

10. Confidentiality

Each party will keep the other's non-public information confidential and use it only to perform or receive the services. This obligation continues after the engagement ends.

11. Limitation of liability

We deliver our services with professional care and skill. To the extent permitted by law, our total liability arising from an engagement is limited to the fees paid to us for that engagement, and we are not liable for indirect or consequential loss, loss of profit, or loss of data. Nothing in these terms limits liability that cannot be limited under Omani law.

12. Term and termination

An engagement runs until the agreed services are completed or the parties end it in writing. Either party may terminate for material breach that is not remedied within a reasonable notice period. On termination, you pay for services performed and work delivered up to the termination date.

13. Governing law

These terms are governed by the laws of the Sultanate of Oman, and any dispute is subject to the jurisdiction of the courts of Muscat.
